1. About these Terms

These Terms of Service ("Terms") are a legal agreement between you and [LEGAL ENTITY NAME] Ltd (company no. [COMPANIES HOUSE NUMBER]), registered at [REGISTERED OFFICE ADDRESS, UK] ("Logosell", "we", "us", "our"). They govern your access to and use of the Logosell mobile application, website and related services (together, the "Service"). By creating an account, accepting these Terms in the app, or otherwise using the Service, you confirm that you have read, understood and agree to these Terms and our Privacy Policy, and that you have the legal capacity to enter into them. If you do not agree, you must not use the Service. Effective [EFFECTIVE DATE] (v2.6).

2. Definitions

"Member" means a registered user of the Service. "Listing" means an item, service or giveaway offered on the Service. "Content" means anything you submit, upload or transmit (including text, photographs, video, messages, reviews, Q&A and profile details). "In-person deal" means any sale, exchange, gift or arrangement completed between Members face to face. "Staff" means our moderators, admins and owner. "Invite code" means any invitation, campaign or founding-member code used to join. "Trader" means a Member acting for purposes relating to their trade, business, craft or profession; "Consumer" means a Member acting wholly or mainly outside any trade or business.

3. Interpretation

Headings are for convenience only. "Including", "for example" and "such as" are illustrative and not limiting. References to legislation include any amendment or re-enactment of it. If there is any conflict between these Terms and a specific in-app policy, these Terms prevail unless the policy expressly states otherwise.

4. Eligibility & membership

You must be at least 16 years old and resident in the United Kingdom to use the Service, and you must not be barred from using it under any applicable law or by a previous suspension or ban. Logosell is invite-only: you join using an Invite code from an existing Member or via our waitlist, at our discretion. A Member who invites another vouches for them and may be held accountable for repeated or serious abuse by the Members they invite. We may accept, decline, suspend, restrict or revoke membership at our discretion, acting reasonably, proportionately and in line with these Terms and applicable law.

5. Invite codes, founding-member & campaign codes

Invite codes, founding-member codes and any promotional or campaign codes are personal, non-transferable, have no cash value, and may be limited in number, time-limited, capped, or withdrawn or changed by us at any time. You must not sell, trade, publish for resale, or generate codes by automated or fraudulent means. We may void codes and any resulting access obtained in breach of these Terms or by fraud, error or abuse. Joining via any code is still subject to our eligibility rules and acceptance.

6. Your account & security

You are responsible for keeping your login details and any two-factor (2FA) method secure, and for all activity that takes place under your account. Tell us immediately at support@logosell.app if you suspect unauthorised access or a security issue. You must provide accurate, current and complete account information and keep it up to date. You may hold one account only, unless we agree otherwise in writing. You must not share, sell or transfer your account.

7. Our role — a venue, not a party to your deals

Logosell is a venue that helps verified Members discover one another and arrange in-person deals. We are NOT a party to any transaction between Members. We do not buy, sell, own, produce, inspect, store, deliver or take possession of any Listing, and we do NOT process, hold, escrow or transmit any payment. Any contract of sale, exchange, service or gift is formed directly between the Members involved, on terms they agree between themselves. We are not the agent of any Member and give no warranty, endorsement or guarantee about any Member, Listing, description, price, quality, safety, legality or outcome.

8. Payments happen off-platform, in person

Logosell does not offer payments, escrow, wallets, invoicing or payouts. Members agree a price in chat and complete the deal in person, using a payment method they choose directly between themselves. Any money you pay or receive is entirely at your own risk and responsibility. Never send money, deposits or "fees" in advance, and treat anyone who asks you to, or who tries to move the conversation off-platform to arrange payment, as a potential scam — and report them.

9. Identity, verification & trust features

We offer optional verification (including a guided selfie check and peer vouching) and display trust signals such as verification level, reviews, sales history and connection distance. These features are designed to reduce risk but are NOT a guarantee of any Member's true identity, honesty, intentions or safety, and must not be treated as such. You remain fully responsible for your own judgement and safety. Our verification may use biometric information — see our Privacy Policy for how we handle it and how to withdraw consent.

10. Listings — your responsibilities

You may only list items you own or are legally entitled to sell or give away, or services you are qualified, licensed and permitted to provide. You must describe them accurately, honestly and completely, use your own genuine photographs, set a lawful price, disclose material faults, and honour what you advertise. You are solely responsible for your Listings and for complying with every law that applies to what you offer, including product safety, labelling, hallmarking, electrical and toy safety, age-restriction, intellectual property and consumer law.

11. Consumer & Trader sellers

Some Members sell as Consumers and some as Traders. If you sell in the course of a business you are a Trader and must comply with the laws that apply to you, which may include the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and the Consumer Protection from Unfair Trading provisions (as updated by the Digital Markets, Competition and Consumers Act 2024), including giving required information and honouring cancellation and refund rights. Logosell does not determine your status, is not a party to your contract, and is not responsible for either Member's compliance. Buyers dealing with a Trader keep their statutory rights against that Trader.

12. Prohibited items

You must not list, offer, solicit or trade: counterfeit, replica or IP-infringing goods; stolen or illegally obtained goods; weapons, firearms, ammunition, or offensive or bladed weapons; explosives or fireworks; drugs, controlled or psychoactive substances, or drug paraphernalia; tobacco, vapes, nicotine or alcohol to or from anyone under the legal age; prescription, unlicensed or dangerous medicines or supplements; recalled, unsafe or non-compliant products; live animals or regulated animal products; human remains, bodily fluids or organs; hazardous, radioactive or toxic materials; government IDs, uniforms or documents; financial instruments, currency, crypto-assets or gift-card cash-out schemes; personal data, databases or online accounts; and anything otherwise illegal in the UK or that infringes another person's rights. Additional restrictions may apply to age-restricted or regulated goods.

13. Prohibited conduct & acceptable use

You must not: harass, threaten, bully, defame, stalk or discriminate against anyone; impersonate any person or misrepresent your identity or affiliation; defraud, scam, phish or deceive; post unlawful, hateful, violent, sexual-exploitation, self-harm or otherwise harmful content; spam, advertise off-platform, or send unsolicited bulk messages; solicit payment in advance or move deals off-platform to evade safety features; manipulate reviews, reputation, ranking or trust signals; collect or misuse other Members' data; or use the Service for any unlawful purpose. You must treat other Members and Staff with basic respect.

14. Platform integrity & security

You must not: access the Service by any means other than our official app or interfaces; scrape, crawl, harvest, cache or index Content except as we expressly permit; use bots, automation or fake accounts; probe, scan, overload, disrupt or test the security of the Service or circumvent, disable or interfere with any security, rate-limiting, verification or moderation feature; reverse-engineer, decompile or attempt to extract source code except where the law expressly allows; or introduce malware or attempt unauthorised access to any account, system or data. We may take technical and legal measures to protect the Service and its Members.

15. Offers, arranging & meeting

An accepted offer is a good-faith indication of price; either Member may still decline before completing the deal in person, unless a binding contract has already formed between them under the general law. You are responsible for arranging a safe meeting. Use our in-app safety tools: meet in a public, well-lit place; tell a trusted contact your plan; share your live location and check in; inspect goods before paying; and trust your instincts. We do not vet meeting places and are not responsible for what happens when Members meet.

16. Assumption of risk & release — in-person meetings

You understand and agree that meeting other Members and completing deals in person carries inherent risks, including the risk of dishonesty, misdescription, defective or unsafe goods, personal injury, loss or theft. You participate at your own risk and are responsible for your own safety and belongings. To the fullest extent permitted by law, you release us from, and agree not to hold us responsible for, any loss, injury, damage or claim arising out of or in connection with your interactions or in-person meetings with other Members, whether online or offline. Nothing in this section excludes liability that cannot be excluded by law (see section 32).

17. Free use, paid extras & fees

Logosell is free to use and ad-supported. We offer optional paid extras, all sold and billed through the Google Play Store under its terms: "Promote" and "Boost" are one-off purchases that increase a Listing's visibility for a set period; "Logosell Pro" is a recurring subscription (offered on a monthly and a discounted annual plan) that bundles benefits such as ad-free browsing, a monthly allowance of included Boosts and Promotes, a Pro Seller badge, listing insights, unlimited listings, priority placement and priority support. Consumable purchases (Promote, Boost, and included allowances) are used up when applied and are non-refundable once used, save for your statutory rights. Logosell Pro renews automatically each billing period until cancelled; manage or cancel any time in your Google Play account before the renewal date. Prices are shown in the app and may include tax. Refunds are governed by the Google Play refund policy and your statutory rights. We may add, change or withdraw paid extras, benefits and prices on reasonable notice; changes do not affect a subscription period you have already paid for.

18. Advertising

The Service may show advertising, including native ads served by third-party ad networks (for example, Google AdMob). Ads and any third-party content, offers or links are the responsibility of the advertiser, not us, and their appearance is not an endorsement. Members with active Logosell Pro (or an ad-free pass) receive an ad-free experience. See our Privacy Policy for advertising data and your choices, including how to manage ad personalisation.

19. AI features

We offer AI-assisted tools (for example, generating a draft Listing from a photo, price and authenticity guidance, negotiation help, content moderation and report triage). AI outputs are automated suggestions that may be inaccurate, incomplete or out of date, are NOT professional, legal, financial, safety or valuation advice, and must not be solely relied upon. You are responsible for independently checking anything before you act on it, and you remain responsible for your Listings and decisions.

20. No professional advice

Nothing in the Service (including AI outputs, trust signals, guides and Staff communications) is professional advice of any kind. Where you need legal, financial, tax, safety or other professional advice, obtain it from a suitably qualified professional.

21. Your Content & licence to us

You keep ownership of your Content. You grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt (for example, resize or crop images), format, publish, display and distribute your Content for the purposes of operating, securing, promoting and improving the Service and complying with our legal obligations, for as long as reasonably needed for those purposes. You confirm you own or have all rights needed to grant this licence and that your Content does not infringe any third-party right or break any law. You are responsible for keeping your own copies of your Content.

22. Feedback

If you send us ideas, suggestions or feedback about the Service, you agree we may use them freely, without restriction or obligation to you, to operate and improve the Service.

23. Our intellectual property

Logosell, our name, logo, software, design, database rights and content (excluding Member Content and third-party material) are owned by [LEGAL ENTITY NAME] Ltd or our licensors and protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You must not copy, modify, distribute, resell, frame, or create derivative works from any part of the Service except as the law expressly permits or we expressly allow.

24. Third-party services & links

The Service relies on and may link to third-party services (for example, app stores, maps, ad networks and payment processing by the app store). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. We do not control and are not responsible for third-party websites, content or offers you may reach through the Service.

25. Reviews & reputation

Reviews and ratings must be honest, based on a real, completed deal, and free of abuse, threats or falsehoods. We may only allow reviews after a confirmed deal handshake. You must not manipulate, incentivise, trade, buy or sell reviews or reputation, or post reviews about yourself or competitors dishonestly. We may remove, refuse or reinstate Content that breaches these rules, and we may display, aggregate and summarise reviews.

26. Reporting, moderation & enforcement

You can report Listings, Members and messages in the app. We (and our AI tools, subject to human oversight for significant decisions) review reports and may, proportionately and in line with our policies and the law: remove, hide or age-restrict Content; issue warnings; limit, suspend or restrict features or accounts; permanently ban accounts; and preserve or disclose information where lawful. We operate the Service in accordance with our duties under the Online Safety Act 2023: we carry out and keep records of the risk assessments the Act requires, provide easy-to-use tools to report and complain about content, act quickly to take down illegal content, give particular priority to the most serious ("priority") illegal content — including child sexual exploitation and abuse and terrorism content, which we remove and, where required, report to the relevant authorities (such as the NCA) — and take proportionate steps to protect children and vulnerable users. Where we restrict your account we will, where appropriate and lawful, tell you why and how to appeal.

27. Appeals

If we suspend, restrict or ban your account or remove your Content, you may submit an appeal in the app, which Staff will review. We aim to review appeals promptly and will let you know the outcome. Exercising an appeal does not affect your legal rights.

28. Disputes between Members

Any dispute about an item, service, price, condition or in-person deal is between the Members involved; we are not a party to it and hold no funds, so we cannot refund, reimburse, adjudicate or guarantee any transaction. We may, at our discretion, offer optional neutral mediation, and may act against Members who behave in bad faith. This does not affect any rights you may have against another Member under the general law, and Consumers keep their statutory rights against Traders.

29. Tax (HMRC / DAC7)

You are responsible for any tax due on your activity, including income tax and VAT where applicable. As a UK digital platform, we may be required to collect and report seller information to HM Revenue & Customs under the OECD Model Reporting Rules for Digital Platforms (implemented in the UK, commonly known as DAC7). Where these rules apply, we will ask for the information needed to meet them and may restrict selling if it is not provided. We do not give tax advice.

30. Availability & changes to the Service

We aim to keep the Service available but do not guarantee it will be uninterrupted, timely, secure or error-free. We may modify, suspend, add, remove, or discontinue features (including beta or experimental features) at any time, and perform maintenance, on reasonable notice where practicable. We are not liable for any unavailability or change, subject to section 32.

31. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied terms, warranties and conditions (including as to satisfactory quality, fitness for purpose and non-infringement) and do not warrant that the Service, any Listing, Member, trust signal, AI output or outcome will meet your expectations or be accurate, reliable or safe. Trust signals and AI outputs are indicative only. This section does not affect the statutory rights of Consumers.

32. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or (for Consumers) under the Consumer Rights Act 2015. Subject to that: we are not liable for the acts, omissions, Content or conduct of any Member; the existence, quality, safety, legality or description of any Listing; any payment made or money lost between Members; anything that happens at or in connection with an in-person meeting; loss of profit, revenue, goodwill, data or anticipated savings; or any indirect or consequential loss. If you are a business user, we exclude such liability to the fullest extent permitted by law. Subject to the first sentence, our total aggregate liability to you arising out of or in connection with the Service in any 12-month period is limited to the greater of the fees you paid us in that period or £100. Consumers keep their statutory rights and, where a loss to a Consumer was a foreseeable result of our breach, this cap applies only to the extent the law allows.

33. Indemnity

If you are a Trader or business user, you agree to indemnify us against reasonable losses, damages, costs and claims (including reasonable legal fees) arising from your breach of these Terms, your Content, your Listings or deals, or your breach of any law or third-party right — except to the extent caused by us. For Consumers, you are responsible for losses we suffer that were caused by your breach of these Terms and were a foreseeable result of it; you are not responsible for losses that were not foreseeable.

34. Suspension & termination

You may stop using the Service and delete your account at any time in Settings. We may suspend, restrict or terminate your access, with or without notice depending on the circumstances, if you breach these Terms, to protect Members, Staff or the Service, or to comply with law. On termination your right to use the Service ends; we may delete or retain data in line with our Privacy Policy and legal duties. Any paid pass ends in line with section 17. Sections that by their nature should survive termination (including sections 7, 8, 16, 21–24, 28, 31–33 and 40) continue to apply.

35. Changes to these Terms

We may update these Terms from time to time (for example, to reflect changes to the Service, our business, or the law). For material changes we will give reasonable notice, such as in-app notice or by asking you to re-accept before you continue. If you continue to use the Service after changes take effect, you accept the updated Terms; if you do not agree, you must stop using the Service and may close your account. We keep a record of the version you accepted.

36. Notices & communications

We may give you notices through the Service, by in-app message, push notification or email to the address on your account. You agree to receive communications electronically. Formal legal notices to us must be sent to support@logosell.app and to our registered address. It is your responsibility to keep your contact details current.

37. Events beyond our control (force majeure)

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including outages of third-party infrastructure (such as hosting, app stores or networks), power or internet failures, cyber-attacks, strikes, acts of government, or natural events.

38. Lawful use & compliance

You must use the Service only for lawful purposes and in compliance with all applicable laws. You must not use it to commit, facilitate or conceal any crime, including fraud, theft, handling stolen goods, money laundering, terrorist financing, or a breach of sanctions or export controls. You warrant that your Listings, Content and conduct comply with the law and do not infringe any third-party right. Breaching this is a serious breach of these Terms and may be reported to the authorities.

39. Cooperation with authorities & lawful disclosure

We cooperate with the police, regulators, courts and other competent authorities. Where we reasonably consider it necessary, or are required to do so, we may preserve, access, review and disclose information — including account details, Content, messages, activity logs and, where lawful and proportionate, verification data — to comply with the law, respond to a valid legal request, enforce these Terms, or prevent, detect, investigate or prosecute crime, or protect the safety of any person. In line with the Online Safety Act 2023 we take steps to identify and remove illegal content and, where required, report it (including child sexual abuse and exploitation material and terrorism content) to the relevant authorities. Nothing in these Terms prevents us from making any disclosure required by law.

40. No liability for Members' unlawful acts

Logosell is a venue, not a party to Members' dealings. We do not condone, and are not responsible for, any unlawful, dishonest or criminal act of any Member, and — to the fullest extent permitted by law — you release us from any claim arising out of such acts. Each Member is solely responsible for their own conduct and for complying with the law. Reporting or removing content, or cooperating with an investigation, does not make us responsible for that content or conduct.

41. General

Assignment: we may assign or transfer these Terms (for example, on a business sale or reorganisation); you may not assign yours without our consent. No waiver: if we do not enforce a right, that is not a waiver of it. Severability: if any provision is found unenforceable, the rest continue in force. Entire agreement: these Terms and our Privacy Policy are the entire agreement between us about the Service and replace any earlier terms. No partnership or agency: nothing here creates a partnership, agency, employment or joint venture between us. Third parties: except where stated, a person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

42. Complaints & dispute resolution

If you have a complaint, please contact us first at support@logosell.app so we can try to resolve it. If we cannot resolve a dispute, you may be entitled to use alternative dispute resolution or, for online purchases, other consumer redress mechanisms available to you. Consumers' statutory rights and access to the courts are not affected.

43. Governing law & jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction, except that if you are a Consumer resident elsewhere in the UK you may also bring proceedings in your home jurisdiction and benefit from its mandatory consumer protections.
