These Terms of Service ("Terms") are a legal agreement between you and [LEGAL ENTITY NAME] Ltd (company no. [COMPANIES HOUSE NUMBER]), registered at [REGISTERED OFFICE ADDRESS, UK] ("Logosell", "we", "us"). They govern your access to and use of the Logosell mobile application and related services (the "Service"). By creating an account or using the Service you confirm you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. Effective [EFFECTIVE DATE] (v2.1).
"Member" means a registered user. "Listing" means an item or service offered on the Service. "Content" means anything you submit (text, photos, video, messages, reviews). "In-person deal" means a transaction completed between Members face to face. "Staff" means our moderators, admins and owner.
You must be at least 16 years old and resident in the United Kingdom. Logosell is invite-only: you join by an invitation code from an existing Member or via our waitlist, at our discretion. A Member who invites another vouches for them and may be held accountable for repeated abuse by their invitees. We may accept, decline, suspend or revoke membership at our discretion, acting reasonably and in line with these Terms and applicable law.
You are responsible for keeping your login details and any two-factor (2FA) method secure, and for all activity under your account. Tell us immediately at support@logosell.app if you suspect unauthorised access. You must give accurate account information and keep it up to date. One person, one account, unless we agree otherwise.
Logosell is a venue that helps verified Members discover each other and arrange in-person deals. We are NOT a party to any transaction between Members, we do not buy, sell, own, inspect or take possession of any Listing, and we do NOT process, hold or transmit any payment. Any contract of sale, exchange or gift is made directly between the Members involved. We give no warranty about any Listing, Member, price or outcome.
Logosell does not offer payments, escrow, wallets or payouts. Members agree a price in chat and complete the deal in person, typically in cash or by a method they choose directly. Any money you pay or receive is entirely at your own risk and responsibility. Never send money in advance, and be wary of anyone who asks you to.
We offer optional verification (including a guided selfie check and peer vouching) and display trust signals such as verification level, reviews and connection distance. These features reduce risk but are NOT a guarantee of any Member's identity, honesty or safety. You remain responsible for your own judgement. Our verification uses biometric information — see our Privacy Policy for how we handle it and how to withdraw consent.
You may only list items you own or are legally entitled to sell, or services you are qualified and permitted to provide. You must describe them accurately, honestly and completely, use your own genuine photos, set a lawful price, and honour what you advertise. You are solely responsible for your Listings and for complying with all laws that apply to what you sell (including product safety, labelling, hallmarking, age-restriction and consumer law where you sell as a trader).
You must not list, offer or trade: counterfeit or infringing goods; stolen or illegally obtained goods; weapons, ammunition, or offensive weapons; drugs, controlled substances, or drug paraphernalia; tobacco, vapes or alcohol to or from anyone under legal age; prescription or unapproved medicines; recalled, unsafe or non-compliant products; live animals; human remains or bodily materials; hazardous materials; adult or sexual services; financial instruments; personal data or accounts; anything illegal in the UK or that infringes another's rights. You must not harass, threaten, defraud, impersonate, spam, scrape, or circumvent safety or moderation features.
An accepted offer is a good-faith indication of price; either Member may still decline before completing in person. You are responsible for arranging a safe meeting. Follow our in-app safety tools: meet in a public place, tell a trusted contact your plan, share your live location, and check in. We are not responsible for what happens when Members meet.
Logosell is free to use and ad-supported. We offer optional paid extras, all sold and billed through the Google Play Store under its terms: "Promote" and "Boost" are one-off purchases that increase a listing's visibility for a set period; the "Seller Pass" is a recurring two-week pass that bundles benefits such as ad-free browsing, included boosts, a Pro Seller badge, listing insights and unlimited listings. Consumable purchases (Promote, Boost, and included boosts) are used up when applied and are non-refundable once used, save for your statutory rights. The Seller Pass renews automatically every two weeks until cancelled; manage or cancel any time in your Play Store account before the renewal date. Refunds are governed by the Google Play refund policy and your statutory rights. We may change or withdraw paid extras and fees on reasonable notice.
The Service may show advertising, including native ads served by third-party ad networks (e.g. Google AdMob). Ads and any third-party content are the responsibility of the advertiser, not us. Members with an active Seller Pass (or an ad-free pass) receive an ad-free experience. See our Privacy Policy for advertising data and your choices.
We offer AI-assisted tools (for example, generating a draft listing from a photo, price and authenticity guidance, negotiation help, content moderation and report triage). AI outputs are automated suggestions that may be inaccurate or incomplete, are NOT professional, legal, financial or safety advice, and must not be solely relied upon. You are responsible for checking anything before you act on it.
You keep ownership of your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (e.g. resize images), publish and display your Content for the purpose of operating, promoting and improving the Service, for as long as needed for those purposes and our legal obligations. You confirm you have the rights to grant this licence and that your Content does not infringe anyone's rights or break the law.
Logosell, our logo, software, design and content (excluding Member Content and third-party material) are owned by [LEGAL ENTITY NAME] Ltd or our licensors and protected by law. You may use them only as needed to use the Service. You must not copy, modify, reverse-engineer, resell or exploit any part of the Service except as the law allows.
Reviews and ratings must be honest, based on a real, completed deal, and free of abuse or falsehoods. We may only allow reviews after a confirmed deal handshake. Do not manipulate, trade, buy or sell reviews or reputation. We may remove Content that breaks these rules.
You can report Listings, Members and messages in the app. We (and our AI tools, subject to human oversight) review reports and may hide Listings, issue warnings, restrict features, suspend or permanently ban accounts, and remove Content — proportionately and in line with our policies and the law, including the Online Safety Act 2023. Where we restrict your account we will, where appropriate, tell you why and how to appeal.
If we suspend or ban your account you may submit an appeal in the app, which an admin will review. We aim to review appeals promptly and will let you know the outcome. This does not affect your legal rights.
Any dispute about an item, service, price or in-person deal is between the Members involved; we are not a party to it and hold no funds, so we cannot refund, reimburse or guarantee any transaction. We may, at our discretion, offer optional neutral mediation and may act against Members who behave in bad faith. This does not affect any rights you may have against another Member under the law.
You are responsible for any tax due on your activity. As a UK digital platform, we may be required to collect and report seller information to HM Revenue & Customs under the OECD Model Rules (DAC7). We will ask for information needed to meet these obligations and may restrict selling if it is not provided.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied warranties and do not warrant that the Service will be uninterrupted, error-free, secure, or that Listings, Members or outcomes will meet your expectations. Trust signals and AI outputs are indicative only.
Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by our negligence, or fraud). Subject to that, we are not liable for: the acts, omissions, Content or conduct of any Member; the quality, safety, legality or description of any Listing; any payment made or money lost between Members; anything that happens at an in-person meeting; or indirect, special or consequential loss. Subject to the first sentence, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period or £100. Members who transact as consumers keep their statutory rights.
You agree to indemnify us against reasonable losses, costs and claims arising from your breach of these Terms, your Content, your Listings or deals, or your breach of any law or third-party right — except to the extent caused by us.
You may stop using the Service and delete your account at any time in Settings. We may suspend or terminate your access for breach of these Terms, to protect Members or the Service, or to comply with law. Sections that by their nature should survive (e.g. IP, liability, indemnity, governing law) continue after termination.
We may update these Terms. For material changes we will give reasonable notice (e.g. in-app). Continuing to use the Service after changes take effect means you accept them; if you do not, you should stop using the Service.
These Terms and any dispute arising from them are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction, except that if you are a consumer you may also have the right to bring proceedings in your place of residence.
